Contract Negotiation and Benchmarking Service:
AMR shall use commercially reasonable efforts in the performance of the Services. AMR will perform the Services in a competent and workmanlike manner and will utilize qualified employees to provide the Services. AMR makes no other warranty, express or implied, including any warranty that the price of the agreements is the lowest or best price offered by vendor. The implied warranties of merchantability and fitness for a particular purpose are hereby excluded. In no event shall AMR s liability hereunder, whether for breach of contract or warranty, tort (including negligence) or otherwise, exceed the amount paid to AMR hereunder. In no event shall AMR have any liability for incidental, consequential, indirect or special damages.

Contract Negotiation and Benchmarking Service:
Termination. AMR shall have the right to terminate this
contract in the event Customer misrepresents AMR s professional opinion as
provided to Customer and AMR reasonably determines that this misrepresentation
may have a material adverse effect on AMR s reputation or ability to conduct
business with the selected vendor. Customer
shall have the right to terminate this Contract, upon advance written notice,
in the event AMR s performance of the Service as set forth in a Work Order is
not reasonably in accordance with the warranty as contained herein. In the event of a termination by either
party, there shall be a mutually agreeable refund of a portion of the Fees for
the Services based upon the amount of Services performed by AMR.
Proprietary Information. AMR and Customer acknowledge that information
provided by either party in connection with this contract, which is marked as
confidential or proprietary by the other party will be considered confidential
and proprietary information ( Confidential Information ), and disclosure of
such Confidential Information may be damaging to the disclosing party. Notwithstanding the foregoing, Customer s
Confidential Information includes, but is not limited to, all materials
attached or referred to in this Contract or any Work Order or the Exhibits
attached to any Work Order. Confidential
Information of one party will be protected from disclosure to anyone other than
the directors, officers and employees of the receiving party who have a need to
have access to such Confidential Information to perform obligations under this
Contract. Each party will use the same
degree of care to protect Confidential Information of the other party as it
uses to protect its own Confidential Information of like importance, but no
less than a reasonable degree of care.
Notwithstanding the foregoing, AMR shall have the right to add to its
database revisions to and provisions included in the Agreement so long as it
does not include Customer s name or any reference to Customer s business.

A description of the research services are provided below. The level of service provided is based on
the package purchased (i.e., platinum, gold, silver, individual, read-only).
CLIN 006 - Advisory Units
An advisory unit is a maximum of two (2) hours of AMR
Research analyst time to complete client research request and may include up to
one (1) hour of telephone interaction with AMR Research analyst(s), as
necessary. Advisory units may be used
by any of the advisory seat holders.
AMR Research provides assistance to Members for incidental
administrative questions such as referrals, contact information, and does not
count such questions as an advisory unit.
Members are invited to use advisory units via telephone, email or by
scheduling a visit at AMR Research s headquarters.
CLIN 007 - Published Content
Members are assigned web access seat(s) to access relevant, timely and
action-oriented research on the coverage area in order to stay informed of
specific topics and markets. Each web
access seat holder can create a personalized view of AMR s Research Published
Content by logging onto AMR s website, which includes the following
publications:
Analytical Reports: In-depth analysis and advice in Member s Primary
Research Area on topics such as full utilization and incremental benefits from
existing investments, investment priorities, and developing strategies for the
future. Analytical Reports are
published a minimum of once per month.
The Alert: Event-driven publication providing concise
analysis of the latest industry news.
The Alert is published weekly.
The Executive View: Thought piece targeted to business leaders
that analyzes key technology issues and trends. The Executive View is published monthly and delivered to Key
Contacts, as well as senior executives of Member.
CLIN 008 Strategy Day
The Strategic Interaction Session allows
AMR Research to better understand a Member s technology strategy, key business
initiatives, and the current status of their application and e-business
projects. By participating in the
Strategic Interaction Session, Members benefit from immediate advice and
feedback from AMR Research. Two (2) AMR Research analysts are included if the
strategy day is held at AMR Research s headquarters; one (1) AMR Research
analyst is included if the strategy day is held outside of AMR Research s
headquarters, including Member s office.
All strategy days are a maximum of eight (8) hours. Member and AMR Research will work together
in advance to determine the appropriate analyst(s) and establish a mutually
agreeable time and date. Analysts book
quickly; please book at least 45 days in advance. AMR Research will work with member to establish an appropriate
agenda.
CLIN 009 - Conferences/Events Attendance
Member will receive conference passes to
attend any AMR Research Conference.
Conference passes are provided on a limited, first-come, first-serve
basis; no refunds will be given on unused Conference passes. Conference passes are transferable between
conferences up to five (5) business days before the Conference. Registration is solely the responsibility of
the member. AMR Research reserves the
right to cancel any conference or event and offer a comparable conference or
event. Information on all conferences
or events can be obtained by logging onto AMR Research s website or by
contacting AMR Research s Events Department.
CLIN 004F - AMR Benchmark Analytix ( BMX )
The Supply Chain Management
Multi-Client Study is conducted to assess a Member s business performance,
technology, and best practice usage.
Each Member assigns one (1) BMX Contact who is responsible for the
completion of all surveys within four (4) weeks after the BMX Kickoff Meeting. Ten (10) BMX Recipients will receive the
following publications:
Trend Analysis Brief: Brief on key trends as identified by BMX. The Trend Analysis Brief is published monthly.
The Executive Report on AMR Benchmark Analytix - Supply Chain Management Multi-Client Study: Custom report providing analysis of Member s e-Business capability assessment, use of best business practices, and technology system audit correlating to performance gaps. This study is published annually.
